Based in Simpson Thacher’s New York office, Stephanie Rotter is Counsel in the Banking and Credit Practice. She has in-depth experience in counseling financial institutions and investment banks in connection with the arrangement and syndication of senior credit facilities, including acquisition, bridge and other corporate financings.

Admitted to practice in New York, Stephanie has represented a number of the world’s leading financial institutions, including JPMorgan, Bank of America and Barclays, among others.

Her recent transactions have included advising:

  • JPMorgan and Merrill Lynch as joint lead arrangers and joint bookrunners, in a committed $40 billion bridge term loan facility for AT&T Inc. to finance its acquisition of Time Warner Inc.
  • JPMorgan as administrative agent in S&P Global’s $1.5 billion 5-year revolving credit facility with the option for up to a $500 million increase
  • Joint lead arrangers and joint bookrunners, led by JPMorgan, in a $500 million revolving credit agreement for TriNet Group
  • Lead arrangers, led by Bank of America in a USD senior secured term loan facility of $1.325 billion and a Euro senior secured term loan facility of €550 million for Veritas US and Veritas Bermuda
  • Joint lead arrangers and joint bookrunners in Tenneco’s $3.2 billion revolving facility and tranche A term facility and $1.7 billion tranche B term facility used to finance Tenneco’s acquisition of Federal-Mogul LLC and to refinance Tenneco’s then existing senior credit facilities and certain senior credit facilities of Federal-Mogul
  • JPMorgan in a bridge term loan facility of up to $2 billion for Genuine Parts Company’s financing of its acquisition of Alliance Automotive Group
