Mike Wolfson advises on leveraged buyouts and private equity investments, mergers and acquisitions, joint ventures, and equity offerings in the international capital markets. Mike’s practice spans a variety of industries, including telecommunications and cable networks, energy, technology, real property, financial services, packaging, transportation, pharmaceuticals, and media and entertainment. Clients he has represented include private equity funds, as well as companies.
Mike regularly advises affiliates of The Blackstone Group on their transactions in Europe and India, including advising them on leveraged buyouts and exit transactions, minority investments and joint ventures, and management equity investment programs for their portfolio companies. Over the past few years, he represented Blackstone’s private equity funds in connection with Intertrust in the Netherlands (acquisition and IPO exit), Versace (investment), Siccar Point (investment), Armacell (acquisition), Mphasis (acquisition), Intelenet (acquisition) and Broadgate (exit). He also represented GSO Capital and other private equity sponsors in connection with European acquisitions.
Mike has worked extensively on mergers and acquisitions for telecommunication companies, including his representations of:
- A consortium of private equity sponsors on their public to private acquisition of TDC A/S. He then advised TDC and its controlling shareholders on disposals of businesses in Hungary and Lithuania. He also advised TDC and selling stockholders on TDC’s equity public offering, and selling stockholders on numerous block trade transactions
- Apax Partners in its CHF2 billion 2012 acquisition of Orange Communications in Switzerland and its sale of Orange Switzerland to NJJ Capital in 2015
In each of these transactions, Mike advised the companies on their management equity programs and worked alongside his colleagues in the Firm’s Credit and Debt Capital Markets practices on the financing for the transactions.
In addition to his private mergers and acquisitions experience, Mike has also represented companies in public to private transactions, including Silver Lake’s acquisition of control of CEGID Group in France, the TDC acquisition, at the time the largest private equity takeover in Europe, and ENEL SpA’s acquisition of Endesa SA in Spain.
Mike joined Simpson Thacher in New York in 1989 and was located in the Firm’s London office from 1998 to 2016. He received his B.A., magna cum laude, from Colgate University in 1986, where he was elected to Phi Beta Kappa, and received his J.D. from the New York University School of Law in 1989. He is a member of the New York Bar.
