Ellen is Counsel in the Firm’s Public Company Advisory Practice. Ellen focuses on advising existing and newly listed public company clients across a spectrum of industries, regarding corporate governance matters, compliance with U.S. federal securities laws, requirements of the major U.S. stock exchanges and various other corporate law matters.  Ellen regularly assists in-house counsel, management, boards of directors and board committees on matters involving SEC and stock exchange reporting and disclosure requirements, corporate governance, director and executive compensation, director independence, shareholder proposals and responses to SEC inquiries. Her practice also focuses on new developments and evolving best practices in public company reporting and governance matters, as well as advising portfolio companies of the Firm’s private equity clients, including with their initial public offering process and their transition to becoming publicly traded.

Ellen’s clients have included, among others, Hilton Worldwide Holdings Inc., Sirius XM Holdings Inc., Invitation Homes Inc., Nielsen Holdings plc, Peabody Energy Corporation and HCA Healthcare, Inc. Ellen also provided advice to Eaton Corporation in its acquisition of Cooper Industries, TRW Automotive Holdings Corp. in its acquisition by ZF Friedrichshafen AG and TASC, Inc. in its acquisition by Engility Holdings, Inc.

Ellen Smiley received her J.D. from Fordham University School of Law in 2003 and her B.A. from the University of Wisconsin in 1991. She is admitted to practice in New York.
