Andrew R. Keller is a Partner in the Firm’s Corporate Department.  He has broad experience in corporate finance transactions representing both underwriters and corporate issuers in public and private sales of high-yield debt securities, initial public offerings and new financial products.  Mr. Keller also advises public companies on ongoing securities law matters and corporate governance issues. 

Mr. Keller has advised on numerous debt and equity offerings for underwriters and issuers alike, and has recently represented the underwriters or the issuer on several hybrid transactions for financial institutions, including Lehman Brothers Holdings Inc., General Electric Capital Corporation, Great-West Life & Annuity Insurance Company, JP Morgan Chase & Co. and Zurich Financial Services.  Mr. Keller also advised the financial advisors to Viad Corp in its spin-off of MoneyGram International. 

Mr. Keller has represented Lehman Brothers Holdings Inc. in a wide variety of general corporate and governance matters.

Mr. Keller has previously practiced in the firm’s Hong Kong office where he represented underwriters and issuers in a number of public offerings and private placements, joint ventures and the formation of private equity funds. 

Mr. Keller has been a partner at Simpson Thacher since January 1994.  He received his B.S.  (Chem. Engrg.) summa cum laude from Lafayette College in 1980 and his J.D. from Columbia Law School in 1983 where he was an editor of the Columbia Law Review.  Mr. Keller is a member of the American and New York State Bar Associations.
