Simpson Thacher Represents Garda World Security Corporation in US$300 Million Offering of Senior Notes, Refinancing of Senior Credit Facilities and Related Tender Offers for Existing Senior Notes

The Firm recently represented Garda World Security Corporation (“GardaWorld”) in connection with an offering of US$300.0 million aggregate principal amount of 7.25% Senior Notes due 2021 and entry into new senior credit facilities, comprised of a seven-year US$540.0 million senior secured term loan facility (of which US$110.0 million may be drawn in connection with GardaWorld’s pending acquisition of G4S Canada), a seven-year Cdn$135.0 million senior secured term loan facility and a five-year US$150.0 million senior secured revolving credit facility.  The senior notes offering was conducted in reliance on to Rule 144A and Regulation S under the Securities Act of 1933, as amended.

GardaWorld used the net proceeds from the senior notes offering, together with proceeds from the new senior credit facilities, to refinance its existing senior credit facilities and to fund tender offers for its existing senior notes. GardaWorld intends to use any remaining proceeds for general corporate purposes. The Firm also represented GardaWorld in connection with the tender offers.
