Simpson Thacher is representing Leonard Green & Partners (“LGP”) in connection with its announced take private acquisition of Mister Car Wash, Inc. (“MCW”), the nation’s leading car wash brand. LGP will acquire 100% of the outstanding equity in MCW it does not already own, other than rolled interests, at a price per share of $7.00 which implies a total enterprise value of MCW of $3.1 billion. The transaction is subject to customary closing conditions, including regulatory approvals, and is expected to be completed in the second quarter of 2026.
