Simpson Thacher is representing Flora Food Group (“Flora”) in connection with its sale of its Latin American operations to Alicorp, S.A.A. (“Alicorp”), one of the region’s leading food manufacturers. The transaction is expected to close later this year, subject to the satisfaction of customary closing conditions, including the approval of the Superintendency of Industry and Commerce in Colombia, the Superintendency of Economic Competition in Ecuador and Trinidad and Tobago Fair Trading Commission.
The proposed transaction includes Flora's brand portfolio and commercial operations across 17 Latin American markets – excluding Mexico and Brazil - together with the manufacturing facility located in Cali, Colombia.
