Simpson Thacher Represents KKR in Connection with Planned Acquisition of Taiyo Holdings

Simpson Thacher is representing Kohlberg Kravis Roberts & Co. L.P. in connection with the planned tender offer (the “Tender Offer”) by its affiliate and subsequent transactions to acquire Taiyo Holdings Co., Ltd. (“Taiyo Holdings”).  Taiyo Holdings is a leading global manufacturer of electronic materials, including solder resist for printed circuit boards. Taiyo also conducts business in various other sectors such as the medical and pharmaceuticals sector.

The planned Tender Offer price of JPY 4,750 per share has been determined based on negotiations between KKR and Taiyo Holdings. The commencement of the Tender Offer is subject to the fulfillment of certain regulatory approvals and other conditions.
