Simpson Thacher represented Ardian and Energia in connection with a Rule 144A and Regulation S offering of €850 million 5.500% Senior Secured Notes due 2032 and an amendment and extension of its existing €450 million revolving credit facility. The transaction closed on September 28, 2026.
The proceeds from the offering were used, together with a portion of cash on balance sheet, to (i) redeem in full Energia’s outstanding 6.875% senior secured notes due 2028, (ii) repay and cancel borrowings under Ardian’s acquisition bridge facility and (iii) pay transaction costs.
Energia is a leading integrated Irish energy business with substantial operations in both the Republic of Ireland and Northern Ireland and is a portfolio company of Ardian. Energia primarily operates across three business units: Renewables, Flexible Generation and Customer Solutions.
