Simpson Thacher represented the International Joint Lead Managers in connection with an ¥100 billion (approximately $635 million) global offering of 47,826,100 shares with over-allotment option by INFRONEER Holdings Inc., including 35,750,000 shares of common stock to institutional investors outside Japan pursuant to Rule 144A and Regulation S under the Securities Act.
INFRONEER Holdings Inc. serves as an “integrated infrastructure service company” engaging in traditional construction, civil engineering, public-private partnership, infrastructure management and renewable energy projects in a wide variety of infrastructure domains.
The International Joint Lead Managers for the offering were SMBC Bank International plc, Daiwa Capital Markets Europe Limited, Mizuho International plc, Nomura International plc and J.P. Morgan Securities plc.
