Brian Chisling is a Partner in the Corporate Department at Simpson Thacher & Bartlett LLP. He specializes in transactions involving energy and infrastructure companies, advising electric and gas utilities, independent power producers, private equity investors and financing parties with respect to mergers and acquisitions, financings and securities issuances, as well as related federal and state regulatory approvals and filings.
In the power industry, he regularly advises American Electric Power Company, Inc., Ohio Valley Electric Corporation, PPL Corporation and numerous private equity clients. His representative public transactions include advising American Electric Power Company in its acquisition of Central and South West Corp., KeySpan Corporation in its merger with National Grid plc, Indiana Energy in its merger with SIGCORP, and Conectiv in its merger with Potomac Electric Power Company. In recent private transactions, he has represented First Reserve Corp. in connection with its proposed acquisition of an electric generation portfolio from Arclight Capital, PPL Corporation in connection with the divestiture of several electric generation and gas utilities businesses, Energy Capital Partners in connection with its purchase of Milford Power LLC, RBS plc in connection with its energy commodities joint venture with Sempra Energy, and affiliates of KKR, Texas Pacific Group and Goldman Sachs & Co. in connection with the acquisition of TXU Corp.
Mr. Chisling joined the Firm in 1994, was named counsel in 2002, was named senior counsel in 2004, and named partner in 2012. He received his J.D. with honors from the Ohio State University Moritz College of Law in 1994. He received a B.S. in Finance and a B.A. in Sociology from Indiana University in 1991. Mr. Chisling is a member of the American, Ohio and Energy Bar Associations.
