Mr. Dunlap is Counsel in the Firm’s Hong Kong office, and a member of the Firm’s Corporate Department. His primary area of concentration is capital markets transactions and US securities law compliance.  Mr. Dunlap has extensive experience representing underwriters and issuers in cross-border Rule 144A / Regulation S and SEC-registered equity, equity-linked and debt offerings, including initial public offerings and listings on the Nasdaq, the New York Stock Exchange, the Hong Kong Stock Exchange, the Singapore Stock Exchange and the Thailand Stock Exchange, follow-on offerings, private sales, and offerings of asset-backed securities.

Mr. Dunlap’s experience includes representation of:

  • The initial purchasers, led by Goldman Sachs, in connection with the US$230 million initial public offering and listing on the Hong Kong Stock Exchange of Tencent Holdings Limited.
  • The Link Management Company Limited in the US$2.5 billion initial public offering, Rule 144A / Regulation S international offering and listing on the Hong Kong Stock Exchange of The Link REI.
  • China Ming Yang Wind Power Group Limited in its $350 million initial public offering and listing on the New York Stock Exchange of American depositary shares.
  • The underwriters, led by J.P. Morgan Securities Ltd., Merrill Lynch International and Morgan Stanley & Co. International Limited, in connection with the US$727 million initial public offering and listing on The Stock of Exchange of Thailand and Rule 144A / Regulation S international offering of Thai Oil Public Company Limited.
  • Chunghwa Telecom Co., Ltd., the largest telecommunications service provider in Taiwan, and selling shareholders in connection with a US$959 million SEC-registered secondary offering of American depositary shares.
  • The underwriters, led by Lehman Brothers and Credit Suisse, in JA Solar Holdings Co., Ltd.’s SEC-registered offering of US$400 million aggregate principal of its 4.50% Senior Convertible Notes due 2013 and concurrent entry into a $400 million nominal amount call spread overlay (capped call option transactions) with affiliates of the lead underwriters to hedge its ADS delivery obligations under the convertible notes.
  • HiSoft Technology International Limited in its US$85 million initial public offering and listing on the Nasdaq Global Market.
  • The underwriters, led by Piper Jaffray & Co. in the US$90 million initial public offering and listing on the New York Stock Exchange of American depositary shares of NetQin Mobile Inc.
  • Yingli Green Energy Holding Company Limited and certain selling shareholders in the US$173 million SEC-registered convertible bond offering and concurrent US$200 million SEC-registered secondary offering of American depositary shares.
  • J.P. Morgan (S.E.A.) Limited, as sole underwriter, in the US$169 million initial public offering, Regulation S international offering and listing on The Singapore Stock Exchange of Financial One Corp.
  • UBS AG as sole underwriter in the US$110 million initial public offering and Nasdaq listing of American depositary shares of China Medical Technologies, Inc.
  • The underwriters, led by Merrill Lynch International, J.P. Morgan Securities Ltd. and Citigroup Global Markets Inc., in the US$323 million SEC-registered secondary offering of American depositary shares of Satyam Computer Services Limited.
  • Ranbaxy Laboratories Limited in its US$440 million convertible bond offering.
  • The underwriters, led by Deutsche Bank, JP Morgan, Merrill Lynch, Phatra Securities and SCB Securities, in connection with the US$850 million Rule 144A /  Regulation S initial public offering and listing on The Stock Exchange of Singapore by Thai Beverage Public Company Limited.
  • Fantasia Holdings Group Co., Limited in connection with its US$410 million initial public offering and listing on the Hong Kong Stock Exchange.
  • The underwriters, led by Credit Suisse, in the US$74 million initial public offering and listing on the Nasdaq Global Market of JinkoSolar Holding Co., Ltd.
  • Concord Medical Services Holdings Limited in connection with its US$132 initial public offering and listing on the New York Stock Exchange.
  • The underwriters, led by Deutsche Bank Securities, in the US$72 initial public offering and Nasdaq listing of American depositary shares of eLong, Inc.
  • Goldman Sachs International as initial purchaser and sole bookrunner in connection with a US$53 million Rule 144A / Regulation S offering of global depositary shares by Gintech Energy Corporation.
  • 51job, Inc. in its US$84 million initial public offering and Nasdaq listing.
  • Morgan Stanley Dean Witter Asia Limited as sole sponsor in connection with the listing by introduction on the Hong Kong Stock Exchange of ordinary shares of O2Micro International Limited.
  • Telefónica de Argentina S.A. in its SEC-registered exchange offer of US dollar denominated notes and peso denominated conversion notes for existing notes of the company and its parent, Compañía Internacional de Telecommunicaciones S.A.
  • The underwriters, led by Merrill Lynch, Pierce, Fenner & Smith Incorporated, in the US$47 million initial public offering and Nasdaq listing of ATA Inc.
  • Xiangyu Dredging Holdings Limited in its US$82 million initial public offering and listing on the Hong Kong Stock Exchange.

Mr. Dunlap also advises a number of public companies on corporate governance and regulatory compliance matters, including issues arising under the Sarbanes-Oxley Act. Mr. Dunlap received his J.D. degree from the University of Michigan Law School in 2001 and his B.A. in Latin American Studies from Carleton College in 1993, magna cum laude.

Prior to joining the Firm, Mr. Dunlap was an associate at Shearman & Sterling LLP in New York City and Hong Kong.  He has lived and worked in Argentina, China, Costa Rica, Mexico, New Zealand and Nicaragua and has basic Mandarin skills and is fluent in Spanish.  Mr. Dunlap has been based in Asia since 2004.
