Charles “Casey” Cogut is a senior corporate partner at Simpson Thacher & Bartlett LLP. For many years he has been a leader of STB’s M&A and private equity practices. He specializes in domestic, international and cross-border mergers and acquisitions; the representation of special committees of boards of directors; and buyouts and other transactions involving private equity firms. Over the course of his career Mr. Cogut often has been involved in coordinating teams of professionals in complex multi-jurisdictional acquisitions. In addition, he regularly advises boards of directors with respect to corporate governance matters and fiduciary responsibilities. Mr. Cogut joined the firm in 1973 and has been a partner at Simpson Thacher since 1980. From 1990 through 1993, he served as Senior Resident Partner in the firm’s London office.
Mr. Cogut represented Microsoft Corporation in connection with its acquisition of Skype Global S.à r.l., and Sealed Air Corporation in its acquisition of Diversey Holdings, Inc., both completed in October 2011. He also recently represented The Mosaic Company in connection with the split-off by Cargill, Incorporated of its approximately 286 million share position in Mosaic in a transaction valued at approximately $24 billion. He represented Wyeth, the global pharmaceuticals company, in connection with its sale to Pfizer Inc. in a cash-and-stock transaction valued at approximately $68 billion. Mr. Cogut also oversees the firm’s relationships with adidas AG, ARAMARK, BD, Kerzner International, and Toll Brothers, and for more than 20 years he has supervised and participated in Simpson Thacher’s representation of Kohlberg Kravis Roberts & Co. and many of its portfolio companies. In addition, he regularly represents other private equity firms such as JLL Partners, Sageview Capital and Silver Lake Partners.
Mr. Cogut is well recognized as one of the leading corporate lawyers in the United States. He was named one of the ten “Most Highly Regarded Individuals” in the 2010 edition of the International Who’s Who of Merger & Acquisition Lawyers and in the 2011 edition of the International Who’s Who of Corporate Governance Lawyers. In addition Mr. Cogut has been named in the top band in the practice area of Corporate-Mergers and Acquisitions and a “senior statesman” in the practice area of Private Equity/Buyouts in Chambers USA 2011: Guide to America’s Leading Lawyers for Business. He has also been named as one of “The Best of the Best” merger and acquisition lawyers in Euromoney’s 2011 Expert Guides, and one of “The Best of the Best” corporate governance lawyers in Euromoney’s 2010 Expert Guides. In addition, he has been recognized by Lawdragon 500 as one of the leading lawyers in America. Mr. Cogut was named as a Deal Maker of the Year by the American Lawyer in both 2008 and 2010 with respect to transactions completed in 2007 and 2009, respectively.
Mr. Cogut received his J.D. in 1973 from the University of Pennsylvania Law School after graduating summa cum laude from Lehigh University in 1969. He is a member of the Board of Overseers of the University of Pennsylvania Law School and Co-Chair of the Board of Advisors of the University’s Institute for Law and Economics.
