Mr. Fertig is a partner at Simpson Thacher & Bartlett LLP’s Hong Kong office, where he has been based since July 2003.  Mr. Fertig focuses his practice on a wide range of equity and debt securities offerings, including U.S. registered offerings, Rule 144A and Regulation S offerings, as well as on a number of merger and acquisitions transactions.  Mr. Fertig regularly advises public companies on corporate governance and regulatory matters.

Mr. Fertig earned a B.A from the University of Virginia in 1994, an M.A. in East Asian Studies from Columbia University in 1999 and a J.D. from Columbia Law School in 2002.  Mr. Fertig joined the New York office of Simpson Thacher & Bartlett LLP in 2002 and became a partner in 2012.  Prior to becoming an attorney, Mr. Fertig studied Chinese in Taiwan and Beijing and worked as a translator for a number of organizations including the Beijing Foreign Languages Press and the Beijing office of a U.S. law firm. Mr. Fertig is fluent in Mandarin.

Mr. Fertig’s representative capital markets experience involving PRC-based issuers includes representation of:

  • Bona Film Group Limited in its US$99.8 million IPO and NASDAQ listing (2010)
  • Focus Media in its US$170 million IPO and NASDAQ listing in 2005 and five follow-on offerings between 2005 and 2007 with a total offering amount of approximately US$2.4 billion; and in its US$153.1 million offering by JJ Media of 8,100,000 American Depositary Shares, representing 40,500,000 ordinary shares, of Focus Media Holding Limited (2010)
  • Chemspec International Limited in its US$73.0 million IPO and NYSE listing (2009)
  • The underwriters, led by Credit Suisse and Merrill Lynch, in the US$122.7 million IPO and NASDAQ listing of Home Inns & Hotels Management Inc. in 2006, as well as in the US$120 million follow-on offering in 2007, and in the offerings of the RMB1,110 million USD settled convertible bonds in 2007 and the US$184 million Convertible Senior Notes by the same issuer in 2010
  • Underwriters led by BoA Merrill Lynch and UBS Investment Bank in the US$103.3 million IPO and NASDAQ listing of Le Gaga Holdings Limited (2010)
  • Underwriters led by Deutsche Bank and Goldman Sachs in the US$143.4 million IPO and NYSE listing of SouFun Holdings Limited (2010)
  • Underwriters led by Goldman Sachs and Morgan Stanley in the US$126.8 million IPO and NASDAQ listing of China Lodging Group Limited (2010).
  • Underwriters led by Goldman Sachs in the US$1.04 billion IPO and NASDAQ listing of Shanda Games Limited (2009)
  • Underwriters led by Credit Suisse and Merrill Lynch in the US$232.0 million IPO and NYSE listing  of E-House (China) Holdings Limited in 2007 and the US$117.3 million follow-on offering in 2008
  • Underwriters led by Goldman Sachs, Morgan Stanley and Deutsche Bank in the US$1.7 billion IPO and HKSE listing and R144A/Reg. S offering of Alibaba.com Limited (2007)
  • Underwriters, led by Morgan Stanley, in the US$216 million IPO and NASDAQ listing of CNinsure Inc. (2007)
  • Underwriters led by Lehman Brothers and Deutsche Bank in the US$116.0 million IPO and NASDAQ listing of Canadian Solar Inc. in 2006 and US$109.0 million follow-on offering in 2009
  • Underwriters led by Citigroup in the US$70.5 million IPO and NASDAQ listing of Hurray! Holding Co., Ltd. (2005)
  • Underwriters led by JPMorgan, Citigroup, Lehman Brothers and Jefferies Broadview in the US$105 million IPO and NASDAQ listing of Ninetowns Digital World Trade Holdings Limited (2004)
  • Underwriters led by Credit Suisse First Boston in the US$86 million IPO and NASDAQ listing of Linktone Ltd.

Mr. Fertig has also worked on numerous securities offerings of Taiwanese issuers, including:

  • U.S. SEC registered offerings of equity securities of ChipMOS Technologies and Chunghwa Telecom
  • Global private placements of equity securities, bonds or convertible bonds of ASUSTeK Computer, Chunghwa Picture Tubes, First Financial Holding, Mega Financial Holding, Powerchip Semiconductors, Ritek Corporation, and King Yuan Electronics
  • Subscription of $230 million convertible bonds of Yageo Corporation by KKR.
