Gary Rice is Of Counsel in the Firm’s Corporate Department, focusing on the representation of banks and other financial institutions with particular emphasis on federal and state bank regulatory issues relating to depository institutions and their holding companies. Mr. Rice has represented a broad range of clients in the banking, securities, insurance and other sectors with respect to mergers, securities offerings and other transactions involving U.S. and foreign banking organizations, as well as providing advice on regulatory compliance. Over the past several years these engagements have included representation of U.S. and foreign banking organizations in connection with merger and acquisition transactions; and representation of private equity, pension and hedge fund and other investors in connection with investments in banking organizations, including investors in Doral Financial Corporation, investors in the FDIC-assisted acquisitions of IndyMac and BankUnited, and applications by other investor groups for “shelf charters” from the OCC and the OTS.
In addition, Mr. Rice regularly advises domestic and international clients of the Firm on a broad range of bank regulatory issues, including compliance with US banking restrictions by foreign banks, enforcement actions by federal and state banking agencies, bank insolvency law, affiliate transaction restrictions, margin regulations, commodity trading activities, capital regulations, and privacy laws.
Mr. Rice has been recognized as one of the leading bank regulatory lawyers in the U.S., including in Chambers USA: America's Leading Lawyers for Business 2011 (Financial Services Regulation). He is a frequent speaker and author on matters relating to financial services regulation. Mr. Rice joined Simpson Thacher in 1985 and became a Partner in 1992. He received his B.A., summa cum laude, in 1977 from Northeastern University and his J.D. from Harvard Law School in 1982. Mr. Rice also served in the legal department of the Federal Reserve of New York from 1982 through 1985.
