Michael Nathan is a partner with Simpson Thacher & Bartlett LLP where he is a member of the Firm’s Corporate Department. Mr. Nathan regularly consults on legal accounting matters and is a member of the Firm’s corporate governance practice group. Mr. Nathan concentrates on capital markets transactions and structured financings. He represented Goldman Sachs and J.P. Morgan in connection with the initial public offering of DreamWorks Animation SKG, Inc. He has worked with underwriters, including J.P. Morgan, and issuers in connection with structuring and executing high-yield offerings, convertible debt transactions and restructurings. Mr. Nathan represented Ford Motor Company in connection with its convertible note offering, National Mentor Holdings, Inc. (a Vestar portfolio company) in connection with its high-yield offerings, and Collegiate Funding Services, Inc. (a Lightyear portfolio company) in connection with its initial public offering. He represents Toys “R” Us, Inc. in connection with corporate and securities matters and capital markets transactions. Mr. Nathan also represented RBS in connection with the formation and disposition of a joint venture that acquired Sempra Energy Trading Corp.
Mr. Nathan joined Simpson Thacher in 1981 and became a member of the firm in 1989. He received his B.S., magna cum laude, from the University of Pennsylvania Wharton School in 1978 and earned his J.D. from New York University in 1981 where he was a member of the Law Review and elected Order of the Coif.
