Gary Sellers is a Partner in the Firm's Corporate Department. His areas of concentration are securities law, mergers and acquisitions, and general corporate representation. He represents major corporations in complex acquisition transactions and recapitalizations as well as issuers and underwriters in initial public offerings and high-yield debt financings.
He advised Sirius Satellite Radio in its $13 billion, stock-for-stock merger of equals with XM Satellite Radio. He also counseled Sirius XM in the early 2009 investment transactions made by affiliates of Liberty Media Corporation. He has represented ITT Industries, Inc. in numerous important transactions, including its recent $1.7 billion acquisition of EDO Corporation. He advised Marathon Acquisition Corp. in its $1 billion merger with Global Ship Lease Inc., an important container shipping company formed by CMA CGM of France. He recently represented Investools Inc., the market leader in investor education, in its acquisition of thinkorswim, a leading online retail brokerage firm.
He represented Willamette Industries Inc. in its defense against the hostile takeover by Weyerhaeuser Corporation. In what some commentators dubbed the "most hostile takeover of the past decade," Mr. Sellers led a team of more than twenty professionals in Willamette's battle against this unsolicited buyout offer and proxy fight.
In the first, and still largest, hospital merger in New York State, Mr. Sellers represented the parties to the $3 billion merger that created New York Presbyterian Hospital. He later represented the several Catholic hospitals in New York City in the multi-billion dollar merger that formed St. Vincent Catholic Medical Center.
He regularly represents several major underwriting firms working extensively in leveraged acquisition financing transactions and initial public offerings. He represented the underwriters in connection with the $2 billion acquisition of the Verizon-Canada print directory business and the $1.2 billion acquisition of Polypore Inc., a membrane manufacturer. Recently, he has focused on transactions in the energy and shipping sectors. He has represented the underwriters in projects for Forest Oil, Delta Petroleum, Norwegian Cruise Lines, GulfTerra Energy, Nuevo Energy, Diana Shipping, Double Hull Tankers, Eagle Bulk Shipping, Stena and Nordic American Tankers.
Mr. Sellers joined Simpson Thacher in 1978 and became a member of the Firm in 1985. He received his A.B. from Stanford University in 1974 and his J.D. from Columbia University School of Law in 1978. He was admitted to the New York Bar in 1978 and is a member of the American Bar Association.
