Peter Gordon is a senior member of the Firm’s mergers and acquisitions group. He advises clients on all aspects of the Firm’s mergers and acquisitions practice, including leveraged buyout transactions involving the acquisition of controlling and minority positions in public and privately held companies, dispositions, restructurings, stock and asset purchases, mergers, exchange offers, cash tender offers for equity and debt securities, joint ventures, spin-offs, proxy contests, takeover defenses, and corporate governance. Mr. Gordon has regularly represented Mueller Water Products, Vestar Capital Partners, Walter Energy, Walter Investment Management, and a variety of private equity and other clients in these areas. Mr. Gordon recently represented Walter Energy in its $3.3 billion acquisition of Western Coal and Walter Investment Management in connection with its $1.07 billion acquisition of Green Tree.
Mr. Gordon leads the Firm’s “distressed mergers and acquisition” practice and has advised a variety of clients in transactions involving financially troubled companies. He represented MSD Capital and Stone Point Capital in connection with the IndyMac Bank transaction and Toronto-Dominion Bank in connection with its bid for BankUnited. He has represented private equity and other clients in bankruptcy court-supervised auctions, advised clients in out-of-court restructurings, including MatlinPatterson in connection with its investment in Thornburg Mortgage; and has represented private equity and other clients, such as Walter Industries and Kohlberg Kravis Roberts & Co., in bankruptcy proceedings involving themselves and affiliated companies. Mr. Gordon also has represented syndicates of senior lenders in bankruptcy proceedings in which they acquired controlling or substantial minority stakes in the debtor, including the Citadel Broadcasting, Idearc, Mark IV and Stations Casino cases.
Mr. Gordon is a senior member of the Firm’s financial institutions practice, specializing in merger and acquisition and capital markets transactions in the insurance industry. He has advised clients in connection with the acquisition of control and minority investments in a variety of insurance companies, such as the acquisition of First Mercury Financial by Fairfax Financing Holdings, the acquisition of control of Paris Re by Partner Re, the acquisition of the publicly-held common stock of Odyssey Re by Fairfax Financial Holdings and the acquisition of Axa Re by Hellman & Friedman, Stone Point Capital, Vestar Capital Partners and other investors. In addition, Mr. Gordon regularly acts as underwriters’ counsel in registered and Rule 144A sales of equity and debt securities.
Peter Gordon joined the Firm in 1980 and was elected a partner in 1988. He chairs the Firm’s Insurance Committee and is chairman emeritus of its Finance Committee. He received his B.A. in Economics from Fordham University in 1977, graduating summa cum laude and first in his major. He received his J.D. from Columbia Law School in 1980, where he was a Kent Scholar and an editor of the Columbia Law Review. Mr. Gordon is a member of the Board of Visitors of Columbia Law School.
