Sean Rodgers is a Partner in the Firm’s Corporate Department, where he specializes in mergers and acquisitions. He regularly represents private equity firms and corporations in a wide range of transactions including leveraged buyouts, stock and asset acquisitions and sales, recapitalizations, mergers, private equity investments, and general corporate and securities law matters.
Recent transactions include representing Kohlberg Kravis Roberts & Co. in their acquisitions of Sealy, Accellent Inc., HCA Inc., First Data Corporation and Aricent and their pending acquisitions of Ipreo and Pfizer’s Capsugel business unit; representing the Kerzner family in taking Kerzner International private; representing the Special Committee of Hearst-Argyle Television in responding to an acquisition proposal from Hearst Television; and representing the Special Committee of Mediacom Communications Corp. in connection with a going private proposal from its founder and CEO. He also assisted the United States Treasury in structuring the Treasury’s equity participation in the $700 billion TARP program.
Mr. Rodgers was also recently named to Investment Dealers’ Digest’s 2010 “Forty Under Forty” list, which recognized the top up-and-coming financial services professionals under the age of forty.
Mr. Rodgers has been with Simpson Thacher since his graduation from UC Berkeley School of Law in 1995, where he was a member of the California Law Review. He received his B.A. in 1992 from Columbia College of Columbia University.
