Daniel Fertig - Partner - Headshot
Daniel Fertig - Partner Based in China, Partner Daniel Fertig focuses his practice on a mix of equity and debt securities offerings, as well as M&A transactions. His work on securities offerings includes U.S. registered offerings and Rule 144A and Regulation S offerings. The issuers he represents are based both in mainland China and in Taiwan. He also advises public companies on corporate governance and regulatory matters. Daniel is fluent in Mandarin. Before joining the bar, he studied Mandarin in Beijing and Taiwan, and worked as a translator overseas. He holds an M.A. in East Asian Studies from Columbia.

Adam has also been recognized as a leading funds lawyers by Chambers Global, Chambers Asia-Pacific, Legal 500 and IFLR1000. Simpson Thacher’s Asia Investment Funds Practice has won numerous awards, including “Investment Funds Firm of the Year” at the 2019 and 2017 Asia Legal Awards and 2019 Asia Legal Business Japan Awards, and “Asia Fund Formation Firm of the Year 2018” by Private Equity International.

Yi Gao - Partner Yi Gao is Partner in Simpson Thacher’s Hong Kong office and a member of the Firm’s Corporate Department, where he focuses on capital markets transactions. His varied practice includes advising clients on SEC-registered offerings, Rule 144A/Regulation S offerings and listings in New York and Hong Kong for China-based companies from various industries. He also advises these companies in their pre-IPO and post-IPO financings and investments as well as various general corporate and regulatory matters. He is qualified in three jurisdictions, PRC, New York and Hong Kong.
Adam Goldberg - Partner - Headshot
Adam Goldberg - Partner Adam Goldberg is a Partner in the Firm’s Litigation Department currently practicing in the Hong Kong office. He has deep experience representing clients across Asia in government and internal investigations, international arbitration and securities and complex commercial litigation, as well as in providing regulatory counseling, including with respect to anti-corruption, sanctions, export controls, anti-money laundering and data privacy compliance.  Nominated as a Who’s Who Legal: Investigations expert and “future leader” in 2019 and 2020, Adam is fluent in Mandarin Chinese and has lived and worked throughout Asia, giving him a unique understanding of region-specific business needs. Adam regularly represents clients before the U.S. Department of Justice and U.S. Securities & Exchange Commission, among other government enforcement agencies; has litigated a variety of matters at the U.S. trial and appellate court levels; and lectures and conducts training on regulatory compliance and enforcement.

Makiko Harunari - Partner

Based in Simpson Thacher’s Hong Kong office, Makiko Harunari is the Head of the Firm’s Asia Banking and Credit Practice. Makiko concentrates on complex cross-border financing transactions throughout the Asia-Pacific region, representing prominent financial sponsors, corporate borrowers and international financial institutions. Her practice includes a broad mix of acquisition finance, real estate finance, fund finance, private credit, back-leverage and other innovative financing products. Makiko regularly advises institutional clients such as KKR, Blackstone and Ant Financial, and has extensive experience across the real estate, infrastructure, pharmaceuticals, and industrials and manufacturing industries.

Named to China Business Law Journal’s “The A-List,” Makiko has also been recognized as a highly regarded lawyer by the 2020 edition of IFLR1000, a notable practitioner by Chambers Asia-Pacific, and was previously named a “Rising Star” in Banking by Super Lawyers. Simpson Thacher’s Banking and Credit Practice was also recently honored as part of China Business Law Journal’s 2020 China Business Law Awards.

Ian C. Ho - Partner A Partner in the Firm’s Hong Kong office, Ian Ho focuses his practice on mergers and acquisitions. He advises public and private corporations, private equity firms and other clients on complex cross-border transactions throughout the Asia-Pacific Region.  Since relocating to Hong Kong from our New York office in 2007, Ian’s diverse practice encompasses acquisitions, dispositions, leveraged buyouts, joint ventures, and minority and strategic investments, among other corporate matters. Ian’s recent clients have included Alibaba, Ant Financial, Apax, Blackstone, Citigroup Global Markets, Fountainvest, KKR and Silver Lake.

His recent clients have included Blackstone and Tyco. Anthony practiced in the Firm’s Hong Kong office from 2012 through 2020. He is proficient in Mandarin.

Celia Lam - Partner Head of the China Practice, Celia Lam has sweeping experience in capital markets and M&As. She has particular experience in securities offerings and listings, public takeovers and private mergers and acquisitions for state-owned enterprises and multinational corporations. She is consistently recognized by The Legal 500 Asia as a "Leading Individual" in capital markets. Chambers has also noted that Celia is “acknowledged by peers as one of the top lawyers in the market.” Her clients include Morgan Stanley, China Mobile and Yunfeng Capital. Co-Head of the Firm’s Mergers and Acquisitions Practice, Katie is a trusted advisor to corporate and private equity clients across a diverse range of industries in complex and high-profile merger and acquisition transactions. Her leading expertise and experience includes guiding clients around the globe through leveraged buyouts, going private transactions, minority and strategic investments, joint ventures, contested acquisitions and other significant corporate transactions and securities law matters. She has regularly represented BlackRock, Cerberus, Hellman & Friedman, KKR, Silver Lake and their respective portfolio companies, as well as Alibaba, Ant Financial, Bentley Systems, BorgWarner and EdgeConneX. 

Katie has been long recognized as a leading M&A and private equity lawyer by Chambers and Partners, IFLR1000 and Legal 500, with clients reporting that Katie “has outstanding judgment and commercial acumen” and is “sharp as a whistle, very driven and knows how to best protect her clients’ interests.” For 2020 alone, Katie was named as an “MVP” in M&A by Law360 and honored as one of the “Top Women in Dealmaking” by The Deal and “Notable Women in Law” by Crains. She is also a member of FORTUNE’S Most Powerful Women. She has been a regular speaker and author of articles regarding M&A issues and corporate matters, including publishing a recent article on “The Effects of COVID-19 on Negotiated M&A Transactions” in the Review of Securities & Commodities Regulation and speaking on a recent PLI panel on “Hot Topics in M&A.”

Katie has served as a member of the Firm’s Executive Committee and spent eight years leading our M&A practice in Hong Kong.  She currently chairs our Firm’s Business Development Committee and also serves on our Firm’s Finance Committee, Diversity Committee and Counsel Committee.  Katie is a member of the Board of Trustees of New York University School of Law.

Michael Ceulen is Counsel in Simpson Thacher’s Hong Kong office and a member of the Firm’s Private Funds Practice. Michael specializes in the organization, structuring and operation of global private equity funds, with a focus on the Asia-Pacific region. Having worked in both Simpson Thacher’s New York and London offices before relocating to the Hong Kong office in 2014, Michael is able to offer clients an international perspective. He has extensive experience advising on fundraisings across numerous asset classes—including buyout, growth, real estate, credit, co-investment arrangements and separately managed accounts.
