Simpson Thacher Represents Underwriters in Offering of $600 Million Senior Notes and £350 Million Senior Notes by Virgin Media

The Firm represented Deutsche Bank, BNP Paribas, CALYON, HSBC, Goldman, Sachs & Co., J.P. Morgan, RBS and UBS Investment Bank, as underwriters, in connection with a public offering by Virgin Media Finance PLC of $600 million of 8.375% Senior Notes due 2019 and £350 million of 8.875% Senior Notes due 2019. The notes are guaranteed on a senior basis by Virgin Media Inc. and the intermediate holding companies of Virgin Media Finance PLC, and on a senior subordinated basis by Virgin Media Investment Holdings Limited. Virgin Media intends to use the net proceeds from the offering to redeem a portion of its outstanding senior notes due 2014.
Virgin Media is a leading U.K. entertainment and communications business providing a "quad-play" offering of broadband, television, mobile telephone and fixed line telephone services.
Simpson Thacher represented various underwriters on U.S. dollar, euro and sterling-denominated bond offerings aggregating approximately $2.75 billion for Virgin Media in three transactions in 2009.
