Executive Compensation and Employee Benefits Partner Gillian Emmett Moldowan was quoted in an article titled, “Pay Ratio, Perks Disclosure and PVP on SEC’s Chopping Block,” which was published in Agenda, a Financial Times publication. The article detailed how the SEC’s review of executive compensation disclosures could reduce the regulatory burden for some companies. When discussing how board members should be closely watching how the SEC proceeds in the coming weeks and months, she noted that “Boards should make sure their advisors are tracking these developments and sharing information with them in a timely and complete manner so that boards can understand how their decisions may be disclosed and, consequently, understood by external stakeholders.” Gillian further explained how understanding disclosure obligations is important, but ideally disclosure should “not [be] driving the decision-making process.”
