Simpson Thacher represented Celfin International Limited as placement agent in connection with a US$100 million private placement of 7.5% notes due 2014 by Corp Group Banking S.A., a Chilean holding company (“Corp Group”). The notes were offered and sold outside the United States to non-U.S. investors, pursuant to Regulation S of the Securities Act of 1933.

CorpBanca provides a broad range of commercial and retail banking services. CorpBanca’s shares are listed on the Santiago Stock Exchange and the Chilean Electronic Exchange, and its American Depositary Receipts are listed on the New York Stock Exchange under the symbol “BCA”. Corp Group intends to use the proceeds of the offering for investments in other companies and other general corporate purposes.

The Simpson Thacher team for the transaction included Todd Crider, Fernando Szterling, Sasha Willimann and Felipe Boisset (Capital Markets); Jonathan Cantor (Tax); and Erik Hepler (UCC/Security). Paralegals Elizabeth Martinez and Michael Davies also assisted.
