The Firm represented the underwriters, led by J.P. Morgan Securities LLC, BofA Securities, Inc., Citigroup Global Markets Inc. and TD Securities (USA) LLC in connection with a debut registered offering of $800 million aggregate principal amount of senior notes in two tranches due 2031 and 2035 (the “Offering”) by Gartner, Inc. (“Gartner”). The Offering closed on November 20, 2025. Since its debut high yield offering in 2017, the Firm has represented the banks in connection with approximately $4 billion of debt financings by Gartner.
Gartner intends to use the net proceeds from the Offering (i) to repay outstanding borrowings under its existing revolving credit facility, (ii) to pay related fees and expenses and (iii) any remainder, for general corporate purposes.
