Dan Webb has a diverse capital markets practice and also advises on corporate governance and securities law matters. Based in Simpson Thacher’s Palo Alto office, Dan has extensive experience working with technology companies, and regularly works with industrial, entertainment and financing companies, as well as companies in other industries.
He advises issuers, underwriters and sponsors across the spectrum of capital markets transactions, including initial public offerings, block trades, PIPEs and other equity offerings, and offerings of preferred equity and investment grade, high yield and convertible debt, as well as tender and exchange offers and various types of acquisition financing. His representations have included Facebook’s $16 billion IPO and Apple’s inaugural $17 billion bond offering, the largest corporate bond offering in history at the time. He has advised on many complex and innovative matters, including auction-based offerings, UP-C and similar exchangeable share structures, and Dell Technologies’ retirement of its class of tracking stock.
Dan has deep experience with private investments in public equity (PIPEs) and other negotiated financings. He has represented issuers, investors and placement agents in more than a dozen completed PIPE transactions, covering a wide range of securities, including convertible notes, convertible preferred stock, warrants and common stock, and in a wide variety of business contexts, including acquisition financing, dividend recapitalizations and strategic investments.
Dan is recognized by Chambers USA for his capital markets work and was named by the Los Angeles and San Francisco Daily Journal as one of the Top 20 Lawyers Under 40 for 2013, in recognition of his extensive capital markets and M&A work.
Dan received his J.D. from Harvard Law School,
cum laude, in 2001, his M.A. from U.C.L.A. in 1998 and his A.B. from Harvard University,
magna cum laude, in 1996. He is admitted to practice in California and New York.
