The Firm represented joint book-running managers J.P. Morgan and BofA Merrill Lynch and the other Initial Purchasers in connection with the issuance by GeoEye, Inc. of $400 million aggregate principal amount of 9.625% Senior Secured Notes due 2015. A portion of the net proceeds was used to fund a cash tender offer for previously issued debt securities of GeoEye, for which the Firm represented J.P. Morgan as Dealer Manager and Solicitation Agent.
GeoEye is a provider of Earth imagery, image processing services and imagery information products to the U.S. government, and to commercial and other government entities throughout the world. The balance of the net proceeds from the offering will be used for general corporate purposes, which may include funding a portion of the costs of a new high-resolution imaging satellite.
