L3 Technologies Completes $1.8 Billion Senior Notes Offering and Concurrent Tender Offers

Simpson Thacher represented L3 Technologies in connection with its registered public offering of $1.8 billion of Senior Notes, consisting of $800 million of 3.85% Senior Notes due 2023 and $1 billion of 4.4% Senior Notes due 2028.
The Firm also represented L3 Technologies in its concurrent tender offers to purchase any and all of its $1 billion of 5.2% Senior Notes due 2019 and its $800 million of 4.75% Senior Notes due 2020.
L3 Technologies employs approximately 31,000 people worldwide and is a leading provider of a broad range of communication, electronic and sensor systems used on military, homeland security and commercial platforms. L3 is also a prime contractor in aerospace systems, security and detection systems, and pilot training. The company reported 2017 sales of $9.6 billion.
