Simpson Thacher represented the underwriters, led by Morgan Stanley & Co. LLC and J.P. Morgan Securities LLC, in connection with the initial public offering by Voyager Technologies, Inc. (“Voyager”) of 14,200,645 shares of its Class A common stock, inclusive of the underwriters’ full exercise of their option to purchase additional shares. The offering raised approximately $440 million in gross proceeds. Shares of Voyager are now listed on the New York Stock Exchange under the ticker symbol “VOYG.” The initial public offering closed on June 12, 2025.
Simpson Thacher also represented JPMorgan Chase Bank, N.A. and other arrangers in connection with Voyager’s entry into a $200 million senior secured revolving credit agreement, which closed on May 30, 2025.
