As a member of the Firm’s Mergers and Acquisitions Practice, Jonathan is regularly involved in the Firm’s representation of corporations and private equity sponsors in mergers and acquisitions, dispositions, carve-outs, investments, joint ventures, recapitalizations and other corporate transactions across a wide range of industries, including financial institutions, infrastructure, energy, industrials and technology, among others, as well as a wide range of corporate governance matters. Jonathan is fluent in Japanese.

Jonathan is a member of the Firm’s Mergers and Acquisitions Practice. He is regularly involved in the Firm’s representation of corporations and private equity sponsors in mergers and acquisitions, dispositions, carve-outs, investments, joint ventures, recapitalizations and other corporate transactions across a wide range of industries, including financial institutions, infrastructure, energy, industrials and technology, among others, as well as a wide range of corporate governance matters.

Jonathan’s recent transactions have included:

  • USAA in multiple transactions, including the $1.8 billion sale of its brokerage and wealth management divisions to Charles Schwab, and the $850 million sale of its mutual fund and ETF businesses to Victory Capital;
  • China National Chemical Corporation in its $43 billion acquisition of Syngenta AG;
  • Vistra Energy Corp., the parent company for TXU Energy and Luminant, in its merger with Dynegy Inc.;

Jonathan has been recognized by Asian Legal Business for his work in M&A and private equity. He is fluent in Japanese. Jonathan received his J.D. from Harvard Law School, an A.M. from Harvard University and a B.A. from Brigham Young University. Jonathan is admitted to practice in New York. He is not admitted to practice in Japan.
