Firm Represents China Shanshui Cement in its Hong Kong IPO

The Hong Kong office of the Firm represented China Shanshui Cement Group Limited ("Shanshui"), the second largest clinker and cement producer in China, in connection with its initial public offering in Hong Kong and Rule 144A/Regulation S offering of 650,840,000 ordinary shares, raising approximately HK$1.82 billion (approximately US$233.6 million) before the underwriters' exercise of the over-allotment option. Shanshui's ordinary shares are listed on the Hong Kong Stock Exchange. Morgan Stanley Private Equity is a substantial shareholder of Shanshui. The joint bookrunners for the offering were Morgan Stanley and Credit Suisse.

The Simpson Thacher team for the transaction included Leiming Chen, Shuang Zhao and Kevin Zhang; Wei Cui and Aaron Cohen (Tax); and Shaogang Dai (legal consultant) and Jane Lee (paralegal).
