Simpson Thacher Represents Teleflex Incorporated in Connection with its Refinancing Transactions

Simpson Thacher represented Teleflex Incorporated (NYSE: TFX) in connection with its refinancing transactions, which consisted of (1) a public offering of $400 million of Teleflex’s 3.875% Convertible Senior Subordinated Notes due 2017, (2) a prepayment in an amount of $200 million of Teleflex’s term loan borrowings under its existing senior secured credit facilities in connection with the amendment of, and the extension of the maturity of a portion of the borrowings under, such credit facilities, and (3) a prepayment of all outstanding senior notes issued by Teleflex in 2007. In addition, the Firm represented Teleflex in connection with convertible note hedge transactions and warrant transactions in connection with the convertible notes offering.

Teleflex is principally a global provider of medical technology products, primarily developing, manufacturing and supplying single-use medical devices used by hospitals and healthcare providers for common diagnostic and therapeutic procedures in critical care and surgical applications.  Teleflex serves hospitals and healthcare providers in more than 140 countries.
