Simpson Thacher represented J.P. Morgan Securities Ltd., Nomura International plc and Deutsche Bank AG, London Branch, as initial purchasers, in connection with a €260 million offering of 11% Senior Secured Notes due 2017 of Polish Television Holding and a €175 million offering of 7.125% Senior Notes due 2018 by the TVN Group. TVN is an integrated multi-media company based in Poland that is a leader in television broadcasting, online media and direct to home satellite TV in Poland. Polish Television Holding is a holding company, the only asset of which is 50.1% of the shares of TVN. The offerings of the notes were made to qualified institutional buyers in reliance on Rule 144A and outside the United States to non-U.S. persons in accordance with Regulation S.
