Simpson Thacher Represents Dealer-Manager in América Móvil Exchange Offer

The Firm recently represented BofA Merrill Lynch, as Dealer-Manager, in connection with a US$364 million exchange offer conducted by América Móvil, S.A.B. de C.V. (Mexico). Under the exchange offer, América Móvil offered its 5.750% Senior Notes due 2015 and its 5.000% Senior Notes due 2020 in exchange for outstanding 5.50% Senior Notes due 2015 and 5.500% Senior Notes due 2019 of Télefonos de México, S.A.B. de C.V. (known as Telmex). The exchange offer was made on a private placement basis.

América Móvil is the largest provider of wireless telecommunications services in Latin America, based upon its 225.0 million subscribers in 18 countries as of December 31, 2010. América Móvil also holds an indirect 59.4% interest in Telmex, which is the leading provider of fixed-line telecommunications services in Mexico. Telmex became a subsidiary of América Móvil in June 2010 when América Móvil acquired both Carso Global Telecom, whose principal asset consisted of a controlling interest in Telmex, and Telmex Internacional, which provides a wide range of telecommunication services in Brazil, Colombia and other countries in Latin America. América Móvil and Telmex are controlled by Carlos Slim and have shares and American depository shares trading on the Mexican Stock Exchange and the New York Stock Exchange.
