Simpson Thacher Represents the Underwriters in $350 Million Convertible Senior Notes Offering by Ship Finance International Limited and Concurrent Registered Stock Borrow Facility

Simpson Thacher recently represented Deutsche Bank Securities Inc. and ABG Sundal Collier, Inc. as underwriters in connection with the public offering by Ship Finance International Limited (“Ship Finance”) of $350 million aggregate principal amount of 3.25% Convertible Senior Notes due 2018.

Simpson Thacher also represented Deutsche Bank Securities Inc. as the sole underwriter in connection with the concurrent public offering by Deutsche Bank AG, London Branch, an affiliate of the underwriter, of up to 6,060,606 Ship Finance common shares that were borrowed by Deutsche Bank AG, London Branch, from a subsidiary of Ship Finance, which, in turn, borrowed the common shares from an affiliate of Ship Finance.

Ship Finance is a global international ship-owning company with one of the largest and most diverse asset bases across the maritime and offshore industries. Ship Finance owns and operates 62 vessels and drilling units across the tanker, drybulk, car carrier, container and offshore sectors.
