Simpson Thacher M&A partner Rob Spatt was interviewed live on CNBC by Andrew Ross Sorkin in conjunction with the Annual Tulane Corporate Law Institute on March 28, 2014 in New Orleans. Mr. Spatt and another interviewee discussed go-shop deals in the current M&A environment, as well as leverage buyout activity, all as part of Mr. Sorkin’s Friday segment of “The Squawk Box.”
To view an edited version from CNBC’s website of the interview with Mr. Spatt and Mr. Sorkin, please click here. The interview clip picks up after Mr. Spatt and his co-interviewee have already responded to Mr. Sorkin’s opening question about whether M&A “go-shop” clauses work by observing that Carl Icahn’s and Blackstone’s surfacing in the Dell transaction suggests that they can, and begins with Mr. Spatt’s response to Mr. Sorkin’s question whether “go-shops” really aren’t just a sham used as a “CYA” by boards and lawyers.
In addition, in conjunction with the Institute, Mr. Spatt (in the case of The Four Ring Circus) recently published the following three annually updated articles, all of which appear in the conference materials and on the STB website.
