Simpson Thacher represented Centerview Partners LLC in its role as financial advisor to the Board of Directors of Pensando Systems, Inc. (“Pensando”).
Pensando and Advanced Micro Devices, Inc. (“AMD”) reached an agreement under which AMD will acquire Pensando for $1.9 billion. Pensando’s distributed services platform includes a high-performance, fully programmable packet processor and comprehensive software stack that accelerate networking, security, storage and other services for cloud, enterprise and edge applications. The transaction, which is expected to close in the second quarter of 2022, is subject to the receipt of regulatory approval and the satisfaction of customary closing conditions.
