Simpson Thacher Represents Underwriters in $7 Billion Senior Notes Offering by Oracle

Simpson Thacher recently represented the underwriters, led by BofA Securities, Inc., Citigroup Global Markets Inc., Goldman Sachs & Co. LLC, HSBC Securities (USA) Inc. and J.P. Morgan Securities LLC, among others, in connection with the registered public offering by Oracle Corporation (“Oracle”) of $1 billion aggregate principal amount of 5.8% Senior Notes due 2025, $1.25 billion aggregate principal amount of 6.15% Senior Notes due 2029, $2.25 billion aggregate principal amount of 6.25% Senior Notes due 2032 and $2.5 billion aggregate principal amount of 6.9% Senior Notes due 2052.

The net proceeds of the offerings are intended to be used to prepay borrowings under its March 2022 delayed draw term loan credit agreement on a dollar-for-dollar basis.

Oracle provides products and services that address enterprise information technology (IT) environments, including applications and infrastructure offerings that are delivered worldwide through a variety of flexible and interoperable IT deployment models.
