Oracle Completes $18 Billion Senior Notes Offering
Simpson Thacher recently represented the underwriters, led by BofA Securities, Inc., Citigroup Global Markets Inc., Deutsche Bank Securities Inc., Goldman Sachs & Co. LLC, HSBC Securities (USA) Inc. and J.P. Morgan Securities LLC, among others, in connection with the registered public offering by Oracle Corporation (“Oracle”) of $3.0 billion aggregate principal amount of 4.450% Notes due 2030, $3.0 billion aggregate principal amount of 4.800% Notes due 2032, $4.0 billion aggregate principal amount of 5.200% Notes due 2035, $2.5 billion aggregate principal amount of 5.875% Notes due 2045, $3.5 billion aggregate principal amount of 5.950% Notes due 2055 and $2.0 billion aggregate principal amount of 6.100% Notes due 2065.
The net proceeds of the offering are intended to be used by Oracle for general corporate purposes, which may include capital expenditures, repayment of indebtedness, future investments or acquisitions and payment of cash dividends on or repurchases of common stock.
