Simpson Thacher represents Hamilton Lane Private Infrastructure Fund (the “Fund”), a non-traded, semi-liquid perpetual fund registered as a closed-end investment company under the 1940 Act, in connection with its formation, seeding structure and continuous public offering. Hamilton Lane is the Fund’s investment adviser.
The Fund seeks to provide current income and long-term capital appreciation by investing in infrastructure assets through a tactically constructed portfolio of direct co-investments, equity and debt investments in portfolio companies and secondary investments often alongside an experienced investment sponsor, joint venture partner, operating partner, or other investor, and in all cases seeking to provide global exposure to real assets in the infrastructure sector. The Fund has the flexibility to invest in infrastructure assets across infrastructure sectors, including but not limited to energy, telecom, renewables, transport, power, social, environment and non-traditional infrastructure sectors. The Fund will invest across macro investment themes emerging in an infrastructure sector, including but not limited to energy transition, digitization, data and telecommunications, and supply chains and logistics. The Fund commenced investment operations as a private fund earlier this year in order to seed a portfolio of infrastructure investments prior to and during its SEC registration process in advance of its initial public offering.
