Simpson Thacher Represents Underwriters and Agents in $50 Billion of Debt and Equity Offerings by Oracle Corporation

Simpson Thacher represented the underwriters and sales agents in connection with a recently announced set of registered offerings of debt and equity securities by Oracle Corporation for $50 billion in aggregate proceeds. The offerings comprise an offering of $25 billion aggregate principal amount of senior notes over eight tranches, a $5 billion offering of depositary shares representing shares of Oracle’s 6.50% Series D Mandatory Convertible Preferred Stock, and an at-the-market program for the sale from time to time of shares of Oracle’s common stock with an aggregate sale price of up to $20 billion.

The net proceeds of the offerings are intended to be used by Oracle for general corporate purposes, which may include capital expenditures, repayment of indebtedness, future investments or acquisitions and payment of cash dividends on or repurchases of common stock.

Oracle provides products and services that address enterprise information technology needs, including enterprise applications and infrastructure offerings that are delivered worldwide through a variety of flexible and interoperable information technology deployment models.
