The Firm represented The Toronto-Dominion Bank (“TD”) in connection with its U.S. public offering of US$2.5 billion aggregate principal amount of its (i) US$1,000,000,000 3.913% Senior Medium-Term Notes, Series F, due 2028; (ii) US$600,000,000 Floating Rate Senior Medium-Term Notes, Series F, due 2028; and (iii) $900,000,000 4.411% Senior Medium-Term Notes, Series F, due 2031 under its Medium-Term Notes program. The net proceeds from the offering will be used for general corporate purposes, which may include hedging TD’s obligations under the notes and/or funding of TD’s affiliate TD Securities (USA) LLC.
