Universal Health Services Completes $1.1 Billion Secured Notes Offering

Simpson Thacher represented the underwriters in an offering of $600 million of 5.500% Senior Secured Notes due 2031 and $500 million of 6.000% Senior Secured Notes due 2036 by Universal Health Services, Inc. (“UHS”). UHS intends to use the net proceeds of the offering to repay certain of its existing senior secured notes and amounts outstanding under its current revolving credit facility, which were used to pay the purchase price for its recent acquisition of Talkspace, Inc. and for general corporate purposes. The offering closed on August 20, 2026.

UHS, through its subsidiaries, owns and operates acute care hospitals and outpatient facilities and behavioral health care facilities. As of June 30, 2026, UHS owned and/or operated 376 inpatient facilities and 168 outpatient and other facilities located in 40 states, Washington, D.C., the United Kingdom and Puerto Rico.
