Oliver McBain

Based in the Firm’s London office, Oliver McBain is a Counsel in the Real Estate Finance Practice. Oliver’s practice covers a broad range of securitization transactions and he has represented clients in both public and private securitization and structured finance transactions. Oliver has handled transactions across numerous asset classes, including trade receivables financing, asset-backed borrowing base facilities, CLOs and CLO warehouses, commercial mortgage backed-securities and collateralized fund obligations.

Prior to joining Simpson Thacher, Oliver spent two years at Citibank supporting the portfolio finance, CLO and warehouse lending desks. He has also completed a 12 month secondment with Goldman Sachs.

Recent work highlights include advising:

• Blackstone as part of their two first-of kind UK agented social housing CMBS transactions
• Blackstone on various agented CMBS transactions
• Secondaries funds and private equity funds on tranched rated-feeder financing structures
• A leading sponsor in relation to a private securitisation of a large portfolio of European real estate assets
• Various U.S. issuers on data warehouse securitisations on compliance with the UK and EU Securitisation Regulations
• A leading global investment firm on the practical implications of investments by EU investors into U.S. CLO transactions
• A U.S.-sponsor owned portfolio company on a global receivables financing structure

Additional experience prior to joining Simpson Thacher: 

• Advised numerous investment banks on CLO and CLO warehouse transactions
• Represented Deutsche Bank on the first public securitisation of market-place loans
• Advised leading investment banks in relation to middle market borrowing base facilities

Oliver received his LPC from BPP University, with distinction, and his GDL from City Law School, with honors. He received a B.A. from the London School of Economics and Political Science, with honors.
