Sonia Lopez

Sonia Lopez is a Partner in the Firm's Energy and Infrastructure Practice based in the New York office. She has extensive experience advising on the development, financing, acquisition and disposition of conventional and renewable power generation projects and has assisted clients both domestically and internationally. She regularly represents leading private equity funds and strategic investors across various energy and infrastructure sectors in connection with mergers and acquisitions, joint ventures and other general corporate matters. Her clients also include borrowers and lenders in complex financings such as acquisition financings and project financings.

Her experience includes representing:

• Capital Power in connection with multiple transactions and project matters, including with respect to (i) its MOU with Apollo Global Management to form an investment partnership to pursue the acquisition of merchant U.S. natural gas generation assets, with potential committed equity of up to $3 billion; and (ii) its $2.2 billion acquisition from LS Power of Hummel Station, the 1,124 MW combined-cycle natural gas facility in Shamokin Dam, Pennsylvania and Rolling Hills, the 1,023 MW combustion turbine natural gas facility in Wilkesville, Ohio
• Holloway Group in connection with the project development, project financing and joint venture arrangements relating to the greenfield ‘Lost Hills’ automotive shredder residue metals and plastics recycling facility located in Bakersfield, California
• Stonepeak Infrastructure Partners in connection with numerous corporate transactions and project matters, including with respect to several evaluations and bid submissions to purchase certain combined-cycle gas-fired power plants

Notable experience prior to joining Simpson Thacher includes representing:

• LS Power in connection with numerous corporate transactions and project matters, including with respect to several evaluation and bid submissions for operating and development stage power generation assets throughout the United States and including (i) its acquisition of the 810MW Hunterstown natural gas-fired CCGT power plant in Gettysburg, Pennsylvania from Platinum Equity in PJM; (ii) its acquisition of 2.1 GW of CCGT projects from Brazos Electric Power Cooperative in ERCOT; (iii) its acquisition of a forty-three project hydro generation portfolio from Hull Street Energy; (iv) its acquisition of GI Endurant, a distributed energy developer and owner and (v) its financing of the 1,124 MW natural gas-fired CCGT Hummel Power Station in PJM
• BlackRock in relation to its auction sale of the Big Sky wind farm in Illinois to Vitol
• DSD Renewables, a BlackRock affiliate, in connection with a $200 million preferred equity investment from Ares Management and a $250 million minority investment by Cox Enterprises, Inc.
• Eastern Generation, an ArcLight Capital Partners affiliate, in respect of (i) its sale of the natural gas-fired Crete Energy Venture and Lincoln Generating Facilities in PJM to Earthrise Energy; (ii) its sale of the natural gas-fired Rolling Hills Facility in PJM to LS Power; and (iii) its sale of the New Covert Facility to Consumers Energy
• ArcLight Capital Partners in connection with numerous corporate transactions and project matters, including with respect to certain power generation assets throughout the United States

Sonia received her J.D. from Georgetown University Law Center, where she served as Executive Editor of The Georgetown Journal of Gender and the Law. She also received her B.A. in Political Science and Philosophy from Wellesley College. She is a native Spanish speaker.
