Daniel Honeycutt is Counsel in the Firm’s Registered Funds Practice. Based in the Firm’s Washington, D.C. office, he provides creative and sophisticated counsel to a diverse array of companies in the financial services and real estate industries, with extensive experience advising REITs on a wide range of formation and transactional matters. Daniel guides clients through complex public and private capital raising matters, including initial public offerings and follow-on offerings, Rule 144A offerings and private placements, as well as significant preferred stock and debt offerings.

Daniel Honeycutt is Counsel in the Firm’s Registered Funds Practice. Based in the Firm’s Washington, D.C. office, he provides creative and sophisticated counsel to a diverse array of companies in the financial services and real estate industries, with extensive experience advising REITs on a wide range of formation and transactional matters. Daniel guides clients through complex public and private capital raising matters, including initial public offerings and follow-on offerings, Rule 144A offerings and private placements, as well as significant preferred stock and debt offerings. His work spans the full spectrum of REIT-related sectors, including industrial, multifamily, net lease, self-storage, retail, healthcare and office properties. He also provides commercial, practical advice to clients on strategic deals including mergers and acquisitions, spin-offs and internalizations transactions. Experience includes representing:

  • Blackstone Real Estate Income Trust, a non-exchange traded equity REIT, in a $4 billion investment, and additional $500 million investment, in BREIT Common Shares by UC Investments
  • Starwood Credit Real Estate Income Trust, an NAV-based mortgage REIT, in its initial private offering and registration under the Exchange Act

Daniel received his J.D. from American University Washington College of Law in 2014 and was co-founder and president of the Washington College of Law Lambda Alumni Association. He received his M.B.A. from Millsaps College in 2011 and his B.B.A. from Millsaps College in 2010, and is a current member of the Millsaps College Young Alumni Advisory Board and a member of the Advisory Board of the Else School of Management of Millsaps College. Daniel is admitted to practice in Washington, D.C., New York and Massachusetts.
