Noritaka Kumamoto is a Partner in Simpson Thacher’s Tokyo office and a member of the Firm’s Mergers and Acquisitions Practice and Litigation Practice. Noritaka regularly represents major Japanese and U.S. corporations and financial institutions on both inbound and outbound M&A transactions, and also represents various Japanese corporations on government investigations and litigations. Some of his clients include KKR, Sumitomo Life Insurance and Murata Manufacturing.

Prior to joining the Firm, Noritaka worked in the business and legal departments of major Japanese banks in Japan and New York. He is a Japanese citizen and fluent in Japanese.

Noritaka’s representative transactions include advising:

  • KKR and Rakuten in the acquisition of a controlling stake in Seiyu from Walmart
  • KKR in the sale of its stake in AlphaTheta Corporation (formerly Pioneer DJ Corporation) to Noritsu Koki Co., Ltd.
  • KKR in the sale of Kokusai Electric Corporation to Applied Materials, Inc.
  • KKR in its tender offer for Hitachi Koki
  • KKR in its tender offer for Calsonic Kansei
  • Sumitomo Life Insurance Company in its acquisition of NYSE-listed Symetra Financial Corporation
  • Murata Manufacturing Co. Ltd. in its acquisition of NASDAQ-listed Peregrine Semiconductor Corp.
  • Panasonic Healthcare in its acquisition of Bayer’s Diabetes Care Business Division
  • Marelli (formerly Calsonic Kansei) in its acquisition of Magneti Marelli
  • Sanyo Electric Co., Ltd. in obtaining antitrust clearance from the Federal Trade Commission in its acquisition by Panasonic Corporation
