Leading the Firm’s Private Funds Practice in Houston, James Hays counsels some of the world’s largest and best-known private fund sponsors on the organization and administration of private investment funds across a diverse range of asset classes and strategies, including energy, infrastructure, buyout, real estate, debt and secondaries. James also has significant experience with set-up and operation of Luxembourg alternative investment funds and alternative investment fund managers, and is frequently sought by sponsors seeking to establish fund platforms in Europe. His clients include both domestic and international private fund sponsors, such as BC Partners, Blackstone, First Reserve, GSO, Macquarie and Stonepeak, among others. In 2019, the Texas Lawyer named James a lawyer “On the Rise.”

Prior to rejoining Simpson Thacher in 2017, James was a Vice President in the Blackstone Real Estate Group, where he oversaw legal and compliance matters related to Blackstone Real Estate Partners, one of the world’s largest real estate private equity platforms.

James Hays is a Partner in the Firm’s Private Funds Practice and is based in Houston. James focuses on advising private fund sponsors on matters related to fund formation, internal arrangements, strategic acquisitions and other components of alternative investment management. He represents leading sponsors in the energy, infrastructure, buyout, real estate, debt and secondaries space and his clients include BC Partners, Blackstone, First Reserve, GSO, Macquarie and Stonepeak, among others. James also frequently works with sponsors seeking to establish private funds for the first time. 

James has extensive experience with the organization of alternative investment funds in Luxembourg and the set-up of European fund distribution platforms. He regularly counsels clients on the Alternative Investment Fund Managers Directive and other aspects of fund marketing in Europe. James is a leading voice in the United States for Luxembourg fund formation and his published works include a series of co-authored articles for The Investment Lawyer regarding the same. In 2019, the Texas Lawyer recognized James as a lawyer “On the Rise.”

Prior to rejoining Simpson Thacher in 2017, James was a Vice President in the Blackstone Real Estate Group, where he oversaw legal and compliance matters related to Blackstone Real Estate Partners, part of one the world’s largest real estate private equity platforms. Apart from counseling Blackstone on matters related to multiple fund-raises and co-investments, James frequently advised on regulatory and strategic initiatives for Blackstone’s global real estate portfolio, including investments in North America, Europe, Asia, Australia and Latin America. James was also integral to the establishment of Blackstone’s Luxembourg-based alternative investment fund manager, Blackstone Europe Fund Management S.à r.l.

James received his J.D., summa cum laude, from Brooklyn Law School, where he was valedictorian of his class, an Executive Articles and Research Editor of the Brooklyn Law Review and an International Business Law Fellow. He received his B.A., with honors in the liberal arts, from Southern Methodist University. James is admitted to practice in New York and Texas.
