Based in our Houston Office, James Hays is Counsel in the Firm’s Private Funds Practice, where he focuses on the organization and administration of private investment funds as well as regulatory and compliance matters related to alternative investment advisers. James has counseled fund sponsors across diverse asset classes and strategies on fund formation, strategic acquisitions, secondary transactions, regulatory compliance, and other aspects of alternative investment management. Prior to rejoining Simpson Thacher, James served as Vice President in the Blackstone Real Estate Group, focusing on legal and compliance matters related to Blackstone Real Estate Partners, the world’s largest platform of closed-end, opportunistic real estate funds.

James Hays is Counsel in Simpson Thacher & Bartlett LLP’s Private Funds Practice where he advises private fund sponsors on fund formation, internal arrangements, strategic acquisitions, and other aspects of alternative investment management. James also advises alternative investment advisers and their principals on regulatory and compliance matters related to the Investment Advisers Act, the Commodity Exchange Act, and the Alternative Investment Fund Managers Directive.
Prior to returning to the Firm, James served as a Vice President at The Blackstone Group L.P., overseeing legal and compliance matters related to Blackstone Real Estate Partners, the world’s largest platform of closed-end, opportunistic real estate funds. At Blackstone, James was responsible for legal and compliance aspects of industry-defining fundraises, including Blackstone Real Estate Partners VIII L.P. ($15.8 billion), Blackstone Real Estate Partners Europe V L.P. (€7.5 billion), Blackstone Real Estate Debt Strategies III L.P. ($4.0 billion), and multiple co-investments. James regularly advised Blackstone and its principals on regulatory and strategic initiatives related to its global real estate portfolio, including investments in North America, Europe, Asia, Australia, and Latin America.
James received his J.D., summa cum laude, from Brooklyn Law School, where he was valedictorian of his class and an Executive Articles and Research Editor of the Brooklyn Law Review. He received his B.A., with honors in the liberal arts, from Southern Methodist University. James is admitted to practice in New York.
