Leading the Firm’s Private Funds practice in Houston, James Hays focuses on the organization and administration of private investment funds across a diverse range of asset classes and strategies, including energy, infrastructure, real estate, buyout, debt and secondaries. His clients comprise some of the world’s largest and best-known sponsors of private funds, including Blackstone, Carlyle, First Reserve, GSO and Macquarie. He regularly advises clients on regulatory and compliance matters related to the Investment Advisers Act and the Commodity Exchange Act. James is also frequently asked to counsel sponsors on matters related to the set-up and operation of alternative investment funds and alternative investment fund managers in Luxembourg.

Prior to rejoining Simpson Thacher, James was a Vice President in the Blackstone Real Estate Group, where he oversaw legal and compliance matters related to Blackstone Real Estate Partners, part of the world’s largest real estate private equity platform.

James Hays leads the Firm’s Private Funds practice in Houston, where he advises private fund sponsors on matters related to fund formation, internal arrangements, strategic acquisitions and other aspects of alternative investment management. He has represented some of private equity’s most prominent sponsors in energy, infrastructure, real estate, buyout, debt and secondary fund-raises, including Blackstone, Carlyle, First Reserve, GSO and Macquarie. James regularly counsels clients on regulatory and compliance issues related to the Investment Advisers Act, the Commodity Exchange Act and the Alternative Investment Fund Managers Directive.

Prior to rejoining Simpson Thacher, James was a Vice President in the Blackstone Real Estate Group, where he oversaw legal and compliance matters related to Blackstone Real Estate Partners, part of the world’s largest real estate private equity platform. Apart from counseling Blackstone on matters related to multiple fund-raises and co-investments, James frequently advised on regulatory and strategic initiatives for Blackstone’s global real estate portfolio, including investments in North America, Europe, Asia, Australia and Latin America. James was also integral to the establishment of Blackstone’s Luxembourg-based alternative investment fund manager, Blackstone Europe Fund Management S.à r.l.

James received his J.D., summa cum laude, from Brooklyn Law School, where he was valedictorian of his class, an Executive Articles and Research Editor of the Brooklyn Law Review and an International Business Law Fellow. He received his B.A., with honors in the liberal arts, from Southern Methodist University. James is admitted to practice in New York and Texas.
