Lawrence (“Larry”) Natke is Partner in Simpson Thacher’s Fund Transactions Practice. Larry’s practice focuses on asset management transactional matters, mergers and acquisitions, joint ventures and related corporate transactions primarily for alternative asset management firms and financial institutions.

Larry has deep experience structuring and advising clients in asset management M&A transactions, including control and non-control sales, GP stakes and seed investments, joint ventures and spin-outs across a range of asset classes and strategies. He has extensive experience negotiating governance and partnership arrangements, including in connection with the integration of new business teams or investors and in connection with change of control transactions.

Larry also represents private equity buyers and sellers in connection with investments in the financial services sector.

Based in the Firm’s New York office, Lawrence (“Larry”) Natke is a Partner in the Fund Transactions Practice, where he focuses on asset management M&A transactions, including GP stakes, acquisitions of controlling interests, seed investments, spin-outs and other strategic transactions for a wide range of alternative fund managers and other financial institutions.

Larry has extensive experience advising clients in the alternative asset management industry on a full range of transactional matters, including mergers and acquisitions, structuring control and non-control investments, GP stakes and seed investments, joint ventures and spin-outs. Larry regularly advises clients on the formation of new asset managers and succession planning.

Larry also represents private equity buyers and sellers in connection with investments in the financial services sector and negotiation of corporate governance and partnership arrangements as well as general corporate law matters.

His notable experience prior to joining Simpson Thacher includes advising:
