Kathryn Stone has substantial experience advising asset managers on a broad range of tax matters, including the formation and structure of private investment funds and retail funds, minority stakes deals, continuation funds, and LP-led secondaries transactions. She represents prominent clients across many industries including private equity, real estate, infrastructure, and credit. Kathryn also regularly counsels sponsors and institutional investors on tax matters across real estate transactions, including joint ventures and REIT acquisitions and dispositions.

She represents prominent clients across many industries including private equity, real estate, infrastructure, and credit. Kathryn also regularly counsels sponsors and institutional investors on tax matters across real estate transactions, including joint ventures and REIT acquisitions and dispositions.

  • ACORE CAPITAL in connection with the sale of a majority stake to Tokio Marine
  • ORIX Corporation in connection with the formation of $2.5 billion Japan private equity fund
  • Arlington Capital Partners in connection with the formation and fundraising of Arlington Capital Partners VII, with capital commitments totaling $6.0 billion
  • Lexington Partners in connection with the formation and fundraising for Lexington Co-Investment Partners VI, L.P., with $3.5 billion of committed capital

Notable experience prior to joining Simpson Thacher includes advising:

  • ACORE Capital in the formation and operation of a multi-product commercial real estate financing fund platform and a $1 billion platform for North American hospitality rescue capital investments
  • BV Investment Partners in the formation and operation of BV Investment Partners Fund XI ($1.75 billion), BV Investment Partners Fund X ($1.1 billion), BV Investment Partners Fund IX ($750 million) and its continuation fund transaction for Right Networks
  • The Vistria Group in the formation and operation of Vistria Fund IV ($2.68 billion), Vistria Fund III ($1.1 billion), its inaugural credit fund and its continuation fund and GP stakes transactions
  • ArcLight Capital Partners on multiple transactions, restructurings and fundraises, including the close of ArcLight Renewable Infrastructure Fund, its first continuation fund, and its sale of a minority stake to Goldman Sachs Group

Kathryn received her J.D. from Harvard Law School in 2013, where she was Senior Technical Editor of the Harvard Law & Policy Review. She received her B.A., cum laude, from Ohio Wesleyan University in 2010.
