Firm Advises Blackstone on Apria Healthcare Acquisition

The firm is representing The Blackstone Group in its announced acquisition of Apria Healthcare Group Inc., a leading home healthcare services company, for approximately $1.6 billion. Apria shareholders will receive $21 in cash for each share of common stock they own, representing a 33% premium over Apria's pre-announcement closing share price. The Company runs nearly 550 respiratory and infusion therapy centers throughout the United States and treats more than 2 million patients each year. The transaction is expected to close in the second half of 2008, subject to customary closing conditions.
